Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of FaceMate (the "Service") provided by Aryahs World Infotech (OPC) Private Limited ("Company", "we", "us", "our"). By using the Service, you agree to these Terms.

If you do not agree, do not use the Service.

2) Definitions (High-Level)

  • Organization: your employer or entity that administers FaceMate for you.
  • User: an individual account holder (Admin/Manager/Employee).
  • Biometric Data: data used to uniquely identify a person, including face embeddings derived from face images.

3) Service Description

FaceMate is an attendance and presence verification platform that may use biometric verification (face embeddings) to validate user identity for attendance and smart verification workflows, subject to Organization configuration.


4) Account Eligibility, Responsibility & Security

  • You must be authorized by your Organization to use the Service.
  • You are responsible for maintaining the confidentiality of your credentials, OTPs, and device access.
  • You must notify your Organization/admin if you suspect unauthorized access.
  • You must provide accurate information as required for the Service.

5) Acceptable Use

You agree not to:

  • Attempt to bypass authentication, verification, or security controls
  • Share OTPs or attempt unauthorized access to any account or device
  • Upload malicious code, disrupt service availability, or interfere with system integrity
  • Reverse engineer, decompile, or attempt to extract source code except as permitted by law
  • Use the Service to violate applicable law or Organization policies

We may suspend or terminate access if misuse, fraud, or policy violations are detected.


6) Biometric Consent Clause

Where enabled, biometric verification may require:

  • Capturing face images for enrollment and verification
  • Creating/storing face embeddings
  • Matching embeddings to verify identity for attendance/presence verification

By enrolling your face and using the Service, you provide explicit consent for biometric processing limited to attendance verification and related security purposes.

If you do not consent, you should not use biometric features. Your Organization may provide alternate methods if configured.


7) Organization Controls

If your Organization administers FaceMate:

  • The Organization may configure verification frequency, attendance rules, and retention policies.
  • Admins/managers may access dashboards and reports relevant to attendance and compliance.
  • Certain requests (e.g., deletion, offboarding) may require Organization approval or must be processed through your admin.

8) Intellectual Property

The Service, including its software, interfaces, and branding, is owned by the Company and/or its licensors. You receive a limited, non-exclusive, non-transferable right to use the Service as permitted by your Organization during your authorized access period.


9) Availability & Disclaimers

The Service is provided on an "as is" and "as available" basis. We do not warrant uninterrupted or error-free operation. Network conditions, device limitations, or third-party service issues may affect availability.


10) Suspension & Termination

We may suspend or terminate access:

  • To comply with legal obligations
  • If you violate these Terms or Organization policy
  • If your Organization terminates your access
  • For security incidents, fraud prevention, or abuse mitigation

Upon termination, access may be disabled and data may be retained or deleted according to retention policies and legal requirements.


11) Limitation of Liability

To the maximum extent permitted by applicable law:

  • We will not be liable for indirect, incidental, special, consequential, or punitive damages.
  • Our total aggregate liability for claims related to the Service will not exceed the amount paid (if any) by your Organization for the Service for the 3 months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law.


12) Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how data is processed and protected.


13) Changes to the Terms

We may update these Terms periodically. Material changes will be communicated through the Service or other reasonable means. Continued use after updates constitutes acceptance.


14) Governing Law & Jurisdiction

These Terms are governed by the laws of India.

Jurisdiction: Courts at Navi Mumbai, Maharashtra shall have exclusive jurisdiction, subject to applicable law.


15) Dispute Resolution

If a dispute arises:

  1. Parties will first attempt in good faith to resolve the dispute informally by contacting support at tech.aryahs@gmail.com.
  2. If unresolved, the dispute will be subject to the jurisdiction clause above.
